Rhode Island SaaS Sales Tax Guide: Is Cloud Software Taxable?

Rhode Island Applies 7% Sales Tax to Vendor-Hosted Software

When software companies look at New England state tax codes, Rhode Island presents a straightforward baseline. As detailed by Rhode Island Division of Taxation Advisory ADV 2018-38, the state treats software-as-a-service as taxable vendor-hosted prewritten computer software, subjecting the full charge to a 7% sales and use tax rate.

Byteorca.com noted that this policy has roots extending back to October 1, 2018, when the state officially incorporated vendor-hosted prewritten software into its taxable base. The rule applies whether access to the program is temporary or permanent, and whether any portion of the application involves a local download.

Galvix reported that businesses handling these rules must account for how a product reaches the customer and how invoices are structured. Setup, implementation, and training fees are taxable when necessary to complete the sale, but separately stated installation charges escape the tax.

Rhode Island Enforces Economic Nexus Thresholds for Remote Sellers

For remote sellers, determining whether to collect tax comes down to hitting specific sales thresholds. Rhode Island enforces an economic nexus threshold of $100,000 in sales or 200 individual transactions over the previous calendar year. Physical presence, such as holding inventory or employing staff in the state, also triggers registration requirements with the Rhode Island Division of Taxation.

Because Rhode Island features no local municipal sales taxes, the 7% rate applies uniformly across the state. Galvix pointed out that B2B and B2C SaaS transactions face identical treatment. Software providers must isolate installation work onto dedicated invoice lines to prevent those specific fees from absorbing the full 7% levy.

Product or Charge Rhode Island Tax Treatment
Downloaded Software Taxable
Custom Software Not taxable
Cloud Infrastructure (IaaS, PaaS) Depends (Generally not taxable unless prewritten software is included)
AI Tools and API Access Taxable
Digital Goods (e-books, music, video) Taxable
Maintenance and Support Taxable (Except contracts for technical support only)

As reinforced by Rhode Island Declaratory Order 2026-01, accessing an online platform’s prewritten software remains firmly classified as a taxable vendor-hosted software sale. Sellers failing to collect the appropriate tax face a late penalty of 10% alongside interest accruing at 18% annually.
